Articles of Incorporation addition

ARTICLE X. The personal liability of the directors of the Chapter shall be eliminated to the fullest extent permitted by law.  If the Revised Iowa Nonprofit Corporation Act ("the Act") is hereafter amended to authorize the further elimination or limitation of the liability of directors, then the liability of a director to the Chapter, in addition to the limitation on personal liability provided herein, shall be eliminated or limited to the extent of such amendment, automatically and without any further action, to the fullest extent permitted by law.  Any repeal or modification of this Article shall be prospective only and shall not adversely affect any limitation on the personal liability or any other right or protection of a director of the Corporation with respect to any state of facts existing at or prior to the time of such repeal or modification.  This Article is in addition to the protections provided by Section 504.901 of the Act.

Bylaws addition  (Art was asked to word this for us at the February meeting.)

ARTICLE III, Section 5. Each member of the board of directors shall be expected to attend all meetings of the board.  A member  who is absent from three (3) consecutive meetings will be removed from the board unless he/she shows intent to the president to remain on the board.
